Client Responsibilities
Clients are responsible for:
- Providing accurate business information
- Providing required content, images, logos, brand assets, login access, and feedback on time
- Reviewing deliverables carefully
- Approving final copy, design, functionality, forms, links, integrations, and launch details
- Ensuring content is legally allowed to be used
- Ensuring claims, offers, testimonials, pricing, guarantees, and business statements are accurate
- Maintaining any third-party accounts, subscriptions, hosting, domains, CRM tools, or booking tools unless otherwise agreed
Content, Assets, and Permissions
Clients must have the legal right to use any materials they provide to Uplink Digital, including logos, photos, videos, fonts, graphics, copy, testimonials, case studies, customer information, and brand assets.
Uplink Digital is not responsible for copyright, trademark, licensing, privacy, advertising, or compliance issues caused by materials or claims provided by the client.
Revisions and Scope Changes

Changes outside the approved scope, additional pages, new features, major design direction changes, added integrations, rushed work, or extra revision rounds may require additional fees and timeline adjustments.
Payments, Deposits, and Late Payments

Deposits, setup fees, milestone payments, or monthly retainers may be required before work begins or continues.
Late payments may pause work, delay launch, delay file transfer, delay access handoff, or result in additional fees if stated in the applicable agreement or invoice.
Cancellations and Refunds
Because digital services require time, planning, strategy, design, development, and implementation work, payments may be non-refundable once work has started unless otherwise stated in writing.
If a project is cancelled, the client may be responsible for work completed, time reserved, tools used, and costs incurred up to the cancellation date.

Third-Party Tools and Costs
Projects may require third-party tools or services such as domains, hosting, website platforms, booking tools, CRMs, email platforms, payment processors, stock assets, fonts, plugins, automation tools, or analytics tools.
Unless stated otherwise, third-party costs are the client's responsibility. Uplink Digital is not responsible for third-party price changes, outages, limitations, policy changes, account issues, or service interruptions.
Website Launch and Post-Launch Responsibility
Before launch, the client is responsible for reviewing and approving the website, links, forms, contact information, offers, pricing, copy, visuals, integrations, and functionality.
After launch, ongoing maintenance, updates, backups, security monitoring, software updates, content changes, SEO work, analytics review, or marketing management are not included unless agreed as part of a support plan or retainer.
No Guaranteed Results
Uplink Digital works to create high-quality, conversion-focused websites and digital systems. However, we do not guarantee specific business results, revenue, rankings, traffic, leads, conversions, appointments, sales, or growth outcomes.
Results depend on many factors outside our control, including market demand, offer quality, pricing, sales process, client reputation, ad spend, traffic sources, follow-up, competition, and customer behavior.
Intellectual Property and Ownership
Unless otherwise stated in writing, after final payment is received, the client may use the final approved website design, copy structure, brand assets, and deliverables created specifically for the client for their business.
Uplink Digital retains ownership of its pre-existing materials, internal processes, frameworks, templates, systems, strategy methods, reusable components, know-how, and non-client-specific tools.
We may display completed work in our portfolio, website, social media, proposals, or marketing materials unless the client requests confidentiality in writing and we agree.
Confidentiality
Both parties may receive confidential or business-sensitive information during a project. We will take reasonable steps to protect confidential information and use it only for the purpose of providing services.
Confidentiality does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
Website Content and Compliance
The client is responsible for ensuring that their website content, business claims, pricing, testimonials, guarantees, legal notices, privacy policies, terms, industry disclosures, accessibility requirements, and regulatory obligations are accurate and appropriate for their business.
Uplink Digital may provide general website structure, suggested copy, or template policy language, but we do not provide legal, tax, financial, medical, or regulatory advice.

Limitation of Liability
To the maximum extent allowed by law, Uplink Digital is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, lost business opportunities, or business interruption.
Our total liability for any claim related to the website or services will not exceed the amount paid by the client to Uplink Digital for the specific service giving rise to the claim, unless applicable law requires otherwise.
Indemnification
